Terms of Service

1. Who we are

These Terms govern your use of the Gardia service ("Service") provided by QuantumBox Inc. ("QuantumBox", "we", "us"). Gardia is a product, brand and trademark of QuantumBox Inc.

2. Service description

Gardia is a multi-tenant SaaS platform for automated document understanding, schema definition and structured data extraction. The Service includes a web application, programmatic APIs, inbound-email ingestion and AI agents.

3. Account & tenant isolation

Each customer is provisioned a logical tenant. Documents, schemas, members and billing data are isolated at the database row-level (Postgres RLS). Customers are responsible for keeping access credentials confidential and for the actions of users they invite into their tenant.

4. Acceptable use

You agree not to (a) upload illegal, infringing or malicious content, (b) attempt to access other tenants' data, (c) reverse-engineer the Service or (d) use the Service to build a competing offering.

5. Subscriptions, billing & refunds

Paid plans are billed monthly or annually in advance through Stripe. Subscriptions renew automatically until cancelled from the Admin → Billing panel. We do not offer refunds for partial periods. Plan limits (seats, departments, inbound aliases, API calls, document volume) are enforced per the plan you select.

6. Data ownership & processing

You retain all rights to documents and data you upload. QuantumBox processes that data solely to provide the Service, on your instructions, as described in our Privacy Policy and any executed Data Processing Agreement (DPA). For EU/UK customers, the DPA is available on request.

7. Confidentiality & security

We apply industry-standard security controls (encryption in transit and at rest, role-based access control, audit logging). Production data is hosted on Microsoft Azure in the customer-selected region. Security and compliance documentation is available under NDA.

8. Service availability

We aim for 99.5% monthly uptime on paid plans. Free-tier accounts are provided on a best-effort basis. Scheduled maintenance is announced via the Admin panel.

9. Intellectual property

The Service, its software, design and trademarks (including "Gardia") are and remain the property of QuantumBox Inc. and its licensors. No rights are granted other than the right to use the Service under these Terms.

10. AI features

Gardia uses third-party large language models (Azure OpenAI and others) to perform extraction, classification and summarisation. AI output may contain errors; you are responsible for reviewing extracted fields before relying on them for regulated or financial decisions.

11. Termination

You may cancel at any time. We may suspend or terminate accounts that breach these Terms, with notice where reasonable. On termination you may export your data for 30 days; thereafter we delete it from production within 30 days (backups within 90 days).

12. Liability

To the maximum extent permitted by law, QuantumBox's aggregate liability for any claim relating to the Service is capped at the fees you paid in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, incidental or consequential damages.

13. Governing law

These Terms are governed by the laws of the jurisdiction where QuantumBox Inc. is registered, without regard to conflict-of-laws principles. Disputes will be brought before the competent courts of that jurisdiction.

14. Changes

We may update these Terms by posting a new version at this URL. Material changes will be notified by email to tenant administrators at least 30 days before they take effect.
